These Terms govern your access to and use of the SamLab websites (samlab.in and samlablis.com) and software provided by Sammed Technosol, 1-JH-28, First Floor, Housing Board Colony, Dadabari, Kota, Rajasthan 324009, India.

1. Acceptance of terms
By accessing our website, purchasing a licence, or installing or using the SamLab software, you agree to be bound by these Terms. If you do not agree, please do not use our services.
Please read Clause 9 (Clinical use), Clause 17 (Warranties) and Clause 18 (Limitation of liability) in particular. They describe what SamLab is and is not responsible for, and they limit our liability to you.
2. Eligibility
SamLab is intended for businesses and individuals aged 18 or over. By using our services or creating an account, you confirm that you are at least 18 years old (or acting on behalf of a business that has authorised you to do so). We do not knowingly create accounts for, or collect personal data from, minors.
3. Licence
SamLab is licensed, not sold. Subject to payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence to use the software for your own diagnostic-laboratory operations, on the number of machines and at the sites permitted by your chosen plan (Express, Pro, Executive or Enterprise). The licence is enforced via signed activation and may be suspended for non-payment or breach of these Terms.
4. The End User Licence Agreement
Your use of the SamLab software is additionally governed by the End User Licence Agreement (EULA) presented to you when you install SamLab and again when you first run it. These Terms incorporate that agreement by reference.
Where these Terms and the EULA differ on any question about the software, the EULA governs. These Terms continue to apply on their own to your use of this website, and to purchasing, billing and support.
5. Trials
We may offer a 7-day free trial. Trials are provided as-is and may be limited in features. We may modify or discontinue trials at any time.
6. Fees & payment
Fees for each plan are stated on our Pricing page and are payable in advance for the licence period. Online payments are processed securely through Razorpay. Prices may change with notice for future renewals.
Prices shown for Indian customers are exclusive of GST. GST at 18% is added at checkout and shown as a separate line before you pay, split as CGST and SGST where the place of supply is Rajasthan and as IGST for any other Indian state. Where a discount or coupon applies, GST is calculated on the discounted amount.
Supplies to customers outside India are zero-rated exports of services and no Indian GST is charged. The amount shown to an international customer is the amount payable in full.
Updates, bug fixes and support are provided while your annual maintenance contract (AMC) is active. If the AMC lapses, the version already installed keeps working, but access to new releases, cloud services and support pauses until it is renewed.
Cloud sync, cloud backup and SamLab AI are optional services charged separately from your licence and AMC. Their charges, free allowances, notice periods and data-retention rules are set out in our Cloud & AI Charges page, which forms part of these Terms and governs where it conflicts with this clause.
7. Acceptable use
- You will not copy, redistribute, resell, rent, lease, sublicense or host the software for third parties.
- You will not reverse-engineer, decompile or disassemble the software, except to the limited extent Indian law expressly permits despite this restriction.
- You will not circumvent, disable or tamper with the licence key, activation, machine binding, module gating or usage limits.
- You will not remove or obscure any copyright, trademark or attribution notice.
- You will not exceed the installation or branch count your plan permits.
- You are responsible for the accuracy and legality of the data you process, and for complying with all applicable laws.
8. Activation & machine binding
The software verifies its licence key against a machine fingerprint and, where your plan includes cloud services, against our servers. You agree to this verification. You may move an installation to a replacement machine by contacting us. Continued verification failure, or evidence of tampering, may suspend paid features — but your lab data always remains readable and exportable.
9. Clinical use and professional responsibility
SamLab is a laboratory record-keeping, billing and reporting tool. It is not a diagnostic device, not a medical decision-making system, and it does not practise medicine or pathology.
You acknowledge and agree that:
- Every result, reference range, unit, flag, calculated value, interpretation and report generated by the software must be reviewed and verified by a qualified registered medical practitioner or pathologist before it is released to any patient or doctor. The software provides a verification workflow for exactly this purpose.
- Results imported automatically from analyzers over LIS/HL7 are transferred data. Instrument faults, calibration drift, sample mix-ups, barcode mismatches and mapping errors can all produce a wrong value that the software will faithfully record. The verifying pathologist, not the software, is responsible for catching these.
- Reference ranges, critical-value limits, formulas and clinical interpretation text supplied with the software are starting points drawn from common practice. You are responsible for reviewing and adjusting them for your own methods, instruments, kits and population before clinical use.
- Critical-result alerts, delta checks and similar aids are conveniences. They may not fire in every case, and they do not replace your own critical-value policy or your duty to communicate a critical result.
- AI-generated report explanations, prescription readings and search results are assistive and may be wrong. They must be reviewed by a qualified person before being relied on or shown to a patient.
- You will not use the software as the sole basis of any diagnosis, treatment decision or patient communication.
Responsibility for the clinical accuracy of every report your laboratory issues rests with your laboratory and its qualified signatory. It does not rest with us.
10. Your data
All lab and patient data you enter into or generate with SamLab belongs to you. We claim no ownership of it, and we do not sell it, rent it, or use it to train any model. We access it only when you ask us to — for support, migration or fault diagnosis — and only to the extent needed. Where cloud services are enabled, your data is stored on our cloud infrastructure and is isolated per organisation.
11. Data protection
Patient records are personal data, and health data at that. For the purposes of the Digital Personal Data Protection Act, 2023 and any successor law:
- You are the Data Fiduciary for your patients’ data. You determine why and how it is processed, and you are responsible for patient notice and consent, for responding to data-principal requests, and for the lawfulness of what you collect.
- We act as your Data Processor for cloud services, processing that data only on your instructions. We maintain reasonable technical and organisational safeguards and will inform you without undue delay if we become aware of a personal-data breach affecting your data on our infrastructure.
You remain responsible for the security of your own premises, machines, Windows accounts, staff passwords and printouts. See our Privacy Policy for how we handle information more generally.
12. Backups
SamLab provides local, Drive and cloud backup tools. Configuring them, verifying that backups actually run, and keeping an off-site copy are your responsibility. We are not liable for data loss where a working backup would have prevented it.
13. Cloud service availability
Cloud services are provided on a reasonable-efforts basis. We do not guarantee uninterrupted availability, and we may perform maintenance, apply fair-use limits, or suspend a service that is being abused or that threatens the platform. SamLab is designed to keep working offline on your own PC, so a cloud outage should never stop your laboratory.
14. Regulatory compliance
SamLab provides features that assist with NABL, NABH, ABDM, GST and income-tax record-keeping. Whether your laboratory actually complies with those regimes depends on how you run it. Accreditation, registration, statutory filing and record-retention duties remain entirely yours. We do not warrant that use of the software achieves or maintains compliance with any standard or law.
15. Intellectual property
All rights, title and interest in the SamLab software, its source code, branding and this website remain with Sammed Technosol. The software is protected as a literary work under the Copyright Act, 1957. No rights are granted except as expressly set out in these Terms and the EULA.
16. Third-party components
SamLab includes third-party open-source components, each under its own licence. Those licences continue to govern those components, and where they grant you rights, these Terms do not take them away. A list is available from us on request.
17. Warranties
The software is provided as is and as available, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
We do not warrant that the software is free of defects, that it will run uninterrupted, or that it is fit for any clinical or diagnostic purpose. No advice or information given by us or our staff creates any warranty beyond these Terms.
18. Limitation of liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, punitive or consequential loss; nor for loss of profit, revenue, goodwill, business, patients, contracts or anticipated savings; nor for loss or corruption of data; nor for any claim brought against you by a patient, doctor, insurer or regulator — however caused, and even if we were told such loss was possible.
- Our total aggregate liability under or in connection with these Terms, for all claims combined, will not exceed the total licence and AMC fees you actually paid us for the software in the twelve months immediately before the event giving rise to the claim.
- Nothing here excludes or limits our liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by our negligence, or anything else Indian law does not permit to be excluded or limited.
You accept that the fees charged for SamLab reflect this allocation of risk.
19. Indemnity
You will indemnify and hold us harmless against any claim, demand, loss, liability, penalty or reasonable legal cost arising out of a report, result or diagnosis your laboratory issued; your breach of Clause 7, 9 or 11; your use of the software in a way these Terms do not permit; or data you collected or processed unlawfully.
20. Termination
We may suspend or terminate access for material breach of these Terms, or for non-payment after 30 days’ written notice and an opportunity to pay. On termination you must stop using the software and uninstall it. You keep the right to export your data for 30 days after termination — we will not withhold your own data from you. Clauses 10, 11, 15, 17, 18, 19 and 22 survive termination.
21. Changes to these terms
We may update these Terms as the product and the law evolve. The version of the End User Licence Agreement you accepted continues to govern the version of the software you installed; installing a later release means accepting the agreement shipped with it. Material changes will be reflected in the “Last updated” date at the top of this page.
22. Governing law & jurisdiction
These Terms are governed by the laws of India. The courts at Kota, Rajasthan have exclusive jurisdiction over any dispute arising out of or relating to them, and both parties submit to that jurisdiction. Before filing, the parties will attempt in good faith to resolve the dispute by discussion for 30 days from written notice.
